Terms of Service

These Terms of Service govern access to and use of Naviports LLC’s software, automation, AI-enabled solutions, websites, applications, and related technology services.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you and Naviports LLC (“Naviports,” “we,” “our,” or “us”). By accessing, browsing, subscribing to, or using any Naviports website, platform, software, integration, application, automation, AI-enabled functionality, or related service (collectively, the “Services”), you agree to be bound by these Terms.

If you are using the Services on behalf of a company, organization, or other legal entity, you represent that you are authorized to bind that entity to these Terms, and references to “you” include that entity.

2. Services

Naviports provides software-as-a-service offerings, workflow automation, AI-assisted tools, data processing capabilities, integrations, implementation support, advisory support, and other related technology services intended to support logistics, commercial operations, customer management, back-office processes, and business workflows.

The Services may evolve over time. Naviports may modify, enhance, replace, suspend, or discontinue features, functionalities, integrations, or portions of the Services at any time, provided such changes are made in the ordinary course of operating and improving the platform.

3. Eligibility and Accounts

You may use the Services only if you are legally capable of entering into a binding agreement and are not prohibited from using the Services under applicable law.

  • You are responsible for maintaining the confidentiality of account credentials
  • You are responsible for all activity occurring under your account or access environment
  • You must provide accurate and current registration and account information
  • You must promptly notify Naviports of any unauthorized use or security incident involving your account

4. Customer Responsibilities

You are responsible for your use of the Services, your users, your configurations, and the lawfulness, accuracy, quality, and reliability of the data, materials, prompts, files, and instructions you submit or process through the Services.

  • Obtaining all rights, notices, consents, and permissions required for your data and activities
  • Reviewing outputs, automations, generated content, workflows, and system actions before reliance or deployment where appropriate
  • Using the Services in compliance with applicable law, regulation, contract, and internal policy
  • Maintaining your own backups, records, approvals, and internal controls as appropriate to your operations

5. Acceptable Use

You agree not to, and not to permit others to:

  • Use the Services for unlawful, fraudulent, deceptive, harmful, or abusive purposes
  • Interfere with, disrupt, damage, or compromise the integrity, security, or performance of the Services
  • Attempt to gain unauthorized access to systems, accounts, data, or environments
  • Reverse engineer, decompile, scrape, reproduce, or exploit the Services except as expressly permitted by applicable law
  • Upload, transmit, or process malicious code, harmful scripts, or unauthorized content
  • Use the Services to infringe intellectual property, privacy, confidentiality, or other legal rights
  • Misrepresent generated outputs as guaranteed, final, certified, or professional advice where human judgment is required

6. AI Features and Automated Outputs

Certain Services may incorporate artificial intelligence, machine learning, automated classification, workflow logic, summarization, drafting, extraction, recommendation, or similar automated capabilities.

AI-generated or automated outputs may be incomplete, inaccurate, non-exhaustive, or unsuitable for a particular purpose and should be reviewed by the customer before operational, legal, commercial, financial, or compliance reliance where appropriate.

  • Naviports does not warrant that AI-generated outputs will always be accurate, complete, or error-free
  • You remain responsible for decisions, actions, communications, filings, or workflows based on generated or automated outputs
  • Automated features may depend on third-party models, source systems, user inputs, and integrations outside Naviports’ direct control

7. Fees and Payment

Paid Services are subject to the pricing, scope, billing frequency, implementation terms, and commercial conditions agreed between Naviports and the customer, whether through an order form, proposal, invoice, subscription arrangement, or other written commercial agreement.

  • Fees are due in accordance with the applicable commercial terms
  • Unless otherwise stated, fees are non-refundable once earned or accrued
  • Late payments may result in suspension of Services, restricted access, or applicable late charges where permitted by law
  • You are responsible for applicable taxes, duties, levies, or governmental charges except taxes based on Naviports’ net income

8. Intellectual Property

Naviports and its licensors retain all right, title, and interest in and to the Services, including all software, code, workflows, interfaces, documentation, designs, branding, content, models, methods, configurations, improvements, and related intellectual property rights.

Subject to your compliance with these Terms and any applicable commercial agreement, Naviports grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription or service term for your internal business purposes.

9. Customer Data

As between Naviports and the customer, you retain your rights in the data, content, records, files, prompts, submissions, and materials that you or your users provide to the Services (“Customer Data”), subject to the rights granted to Naviports to host, process, transmit, analyze, organize, back up, and otherwise use Customer Data as necessary to provide, secure, support, and improve the Services in accordance with applicable agreements and our Privacy Policy.

You represent that you have the necessary rights and lawful basis to provide Customer Data to Naviports for processing in connection with the Services.

10. Confidentiality

Each party may receive non-public, confidential, proprietary, technical, commercial, or business information from the other party. The receiving party agrees to use such information only as necessary for the purposes of the relationship and to protect it using reasonable safeguards.

Confidentiality obligations do not apply to information that is or becomes public without breach, was already lawfully known, is lawfully received from a third party without restriction, or is independently developed without use of the other party’s confidential information.

11. Availability and Support

Naviports will use commercially reasonable efforts to make the Services available and operational, but does not guarantee uninterrupted or error-free availability. Maintenance, updates, third-party outages, internet failures, customer-side issues, force majeure events, and other operational realities may affect access or performance.

Any implementation assistance, onboarding, support response expectations, advisory input, or service levels are subject to the applicable commercial arrangement unless separately agreed in writing.

12. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. Naviports disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

Naviports does not warrant that the Services will meet every requirement, achieve any specific business result, be uninterrupted, be fully secure against every threat, or be free from delays, inaccuracies, or errors.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Naviports shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunities, anticipated savings, or business interruption, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Naviports’ aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amounts paid by the customer to Naviports for the specific Services giving rise to the claim during the twelve (12) months preceding the event giving rise to liability.

14. Indemnification

You agree to defend, indemnify, and hold harmless Naviports, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, costs, and expenses arising out of or related to:

  • Your use of the Services in violation of these Terms or applicable law
  • Your Customer Data, submissions, prompts, files, or content
  • Your infringement or violation of any third-party rights
  • Your users, integrations, workflows, or instructions implemented through the Services

15. Termination

Naviports may suspend or terminate access to the Services, in whole or in part, if you breach these Terms, fail to pay applicable fees, create legal, security, or operational risk, or if Naviports reasonably determines suspension is necessary to protect the Services, customers, users, or third parties.

You may stop using the Services at any time, subject to any applicable subscription term, commercial commitment, or payment obligation. Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, confidentiality, disclaimers, liability, indemnification, payment obligations, and governing law.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles, unless otherwise expressly agreed in a separate written agreement between the parties.

Subject to applicable law and any separately agreed dispute resolution mechanism, the parties agree that disputes arising out of or relating to these Terms or the Services shall be brought in the competent courts having jurisdiction over such matters in Wyoming.

17. Changes to Terms

Naviports may update these Terms from time to time to reflect changes in the Services, technology, law, operations, or commercial practices. Updated Terms will be posted on this page with a revised effective date. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
